The Terminal Operator shall be entitled, but not obliged, to cede any reversionary interest in the Final Maintenance Guarantee (which it may have after the aforesaid cession to the TNPA) to and in favour of any Lender as security for the Terminal Operator’s obligations to such Lender under the Financing Agreements.
During such Final Maintenance, the Aircraft, including the Aircraft Documentation, shall be made available to Lessor and/or Lessor's agents, representatives and designees (each, an "Inspecting Party") for ground inspection by the Inspecting Parties at Lessee's facilities or such other location as may be agreed by Lessor and Lessee.
Upon approval of the Documentation and Final Maintenance Plan, the Project Manager shall issue written notice of its approval (“Maintenance Plan Approval Notice”).

To the extent that Lessee uses a Final Maintenance Performer for the Return, Lessee will cause its maintenance contracts with each Final Maintenance Performer to contain a provision, satisfactory in form and substance to Lessor, expressly stating that all warranties (express or implied) and product support is made for the benefit of Lessor and its assigns and may be relied upon and enforced directly by Lessor and its assigns without the involvement of Lessee.
Artist shall make revisions to the Documentation and Final Maintenance Plan as specified by City prior to its approval.
The Final Maintenance Guarantee shall be returned to the Facility Operator upon the expiry of the Operating Term, subject to TNPA's right to call such guarantee in respect of any obligations of the Facility Operator in respect of maintenance of the Facility as detailed in the Operating Specifications that have not be performed in full or to TNPA's satisfaction.

Lessee shall remove the Aircraft from scheduled service and open the areas of the Aircraft as required to perform the Final Maintenance and the other inspections and checks as contemplated in this Section 4 and Annex 1 to this Schedule 1 and otherwise permit Lessor to determine that the Aircraft, including the Aircraft Documentation, is in the condition required under the Operative Documents.
If reasonably requested by Lessor, the Aircraft carpeting shall be replaced at the Final Maintenance.
