Except for those matters set forth in Section 4.6.3(a) (Ionis Final Decision-Making Authority), either Party may refer the matter for resolution pursuant to Section 15.1.3 (Expedited Dispute Resolution).
Once the JSC is disbanded, the JSC will have no further obligations under this Agreement and, thereafter, the Alliance Managers will be the points of contact for the exchange of information between the Parties under this Agreement and any references in this Agreement to decisions of the JSC will automatically become references to decisions by and between the Parties in writing, subject to the other terms of this Agreement and consistent with the terms of Section 3.7.2 (Final Decision-Making Authority).
Subject to the following sentence, if the Executive Officers are unable to reach a resolution within [***] of such referral and such JCC Dispute is not otherwise addressed by Section 8.6 (Final Decision-Making Authority of the Parties), the dispute shall be resolved through arbitration as provided for in Article 15, whether as a Commercial/Financial Dispute or as an Arbitration Matter.
Any decision made by an Executive Officer in accordance with this Section 3.09 (Final Decision-Making Authority) shall be deemed to be a decision of the relevant Committee.
The Parties, through the JDC, shall submit to the JSC for review and approval such proposed amendments or any other proposed amendments that the JSC may consider from time to time in its discretion (subject to Astellas’ final decision-making authority set forth in Section 3.11(b)(ii) (Final Decision-Making Authority)) and, upon any such approval by the JSC, the Development Plans shall be amended accordingly.

The Trust hereby appoints the Advisor to act as investment advisor to the Funds and to provide investment advisory services to such Funds, subject to the supervision of the Fund's Board of Trustees (the "Board"), for the period and on the terms and conditions set forth in this Agreement.
Additionally, neither Party will have final decision-making authority with respect to the finalization of the initial budget for the Open Budget Studies, which will be resolved pursuant to Section 3.8.2(d) (Final Decision-Making Authority for Open Budget Studies).
Any matter set forth in clause (a) of this Section 8.6.1 (Final Decision-Making Authority) shall be subject to the mutual agreement of both Parties and, unless and until such mutual agreement is reached (by consensus decision of the applicable JSC or Executive Committee), the status quo will be maintained.
