In the event that no Major Non-Onex Stockholders or any Non-Onex Holder Group nominates any individual to serve as the Non-Onex Designee on or prior to the Final Deadline pursuant to this Section 4.5, and there is no Non-Onex Designee pursuant to Section 4.4(d), then the Non-Onex Designee shall be designated by mutual agreement of the Onex Independent Designees, and shall be an Independent Director.
