Filtertek is willing to accept such reimbursement from HemaSure and agree to a price reduction on future purchases of Products under the Agreement subject to all of the terms and conditions of the Agreement and this Amendment.

The proceeds of the Loans made under this Agreement will be used by the Borrower only for the purposes set forth in the preamble to this Agreement, except that the proceeds of the Term Loans representing the incremental increase in the Term Loans on the Amendment and Restatement Effective Date will be used by the Borrower to pay consideration payable in connection with the Filtertek Acquisition and related fees and expenses.
In the event Actual Annual Purchases are less than said quantities for that respective Agreement Year, then Filtertek shall issue a debit to HemaSure in accordance with the quantity pricing set forth on Attachment B.
Neither ESCO nor the Borrower will permit any amendment or modification to be made to, or any waiver of its rights or the rights of any Subsidiary under, any Transaction Document or any Filtertek Acquisition Document unless, in the reasonable judgment of the Required Banks, such amendment, modification or waiver does not adversely affect the Borrower or the Banks.
