Filers definition

Filers means filers of securities information (including issuers, registrants and firms).
Filers means any unique filing entity, entered or imported into the Corporate Suite software, as determined by having a unique combination of a Taxpayer Identification Number (TIN) & Payer Code (PCode).
Filers means individuals or entities that establish a Filer Account within the EFD System for the purpose of: (i) submitting certain filings to securities regulators that have opted to participate in the EFD System and (ii) making electronic payment of associated state filing fees to such securities regulators and associated EFD system fees to NASAA.

  • Pursuant to Rule 13d-1(k)(1) under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), the Joint Filers desire to satisfy any filing obligation under Section 13(d) of the Exchange Act by a single joint filing.

  • Each Party shall make available, and cause the members of its Group to make available, to another Party for inspection and copying all Tax Records in their possession that relate to the Pre-Distribution Period or Post-Distribution Period and which is reasonably necessary for the preparation, review, approval or filing of a Tax Return by applicable Filers under Section 4.1 or with respect to any Tax Contest with respect to such Return.

  • Each of the Joint Filers is eligible to use Schedule 13G for the filing of information therein contained.

  • All Members will pay any IRS penalties and/or interest resulting from an error in the Member’s Software Program’s Calculations, notwithstanding the lack of revenue from FFI Filers.
