  • For each CAT Field Associate Adjuster or CAT Field Adjuster I deployed pursuant to a Catastrophe Deployment, Citizens will compensate Vendor for seven (7) days at the corresponding daily Catastrophe Rate outlined below, in addition to compensation set forth in Table 1A.

  • CAT Field Associate Adjusters are those Adjusters who do not meet the qualifications of CAT Field Adjuster I and will be utilized at Citizens discretion based on need.

  • Vendor must maintain a minimum of twenty-five (25) Adjusters who are: (a) approved by Citizens as meeting the requirements of a CAT Field Associate Adjuster; (b) are credentialed and approved by Citizens in CAIS or other designated Citizens’ system’ and, (c) at all times remain available to provide Services as requested by Citizens in accordance with this Agreement (each a “Committed Adjuster,” and, collectively, the “Committed Adjuster Total”).

  • Covered Associate means any general partner, managing member or executive officer, or other individual with a similar status or function, any employee who solicits a government entity for the investment adviser and any person who supervises, directly or indirectly, such employee.

  • Stockholder Associated Person of any stockholder means (A) any person controlling, directly or indirectly, or acting in concert with, such stockholder, (B) any beneficial owner of shares of stock of the Corporation owned of record or beneficially by such stockholder or (C) any person directly or indirectly controlling, controlled by or under common control with such Stockholder Associated Person.

  • Shareholder Associated Person of any Shareholder means (i) any person controlling, directly or indirectly, or acting in concert with, such Shareholder, (ii) any beneficial owner of shares of stock of the Corporation owned of record or beneficially by such Shareholder, and (iii) any person controlling, controlled by or under common control with such Shareholder Associated Person.

  • Proposed Nominee Associated Person of any Proposed Nominee shall mean (A) any Person acting in concert with such Proposed Nominee, (B) any direct or indirect beneficial owner of Shares owned of record or beneficially by such Proposed Nominee or Person acting in concert with the Proposed Nominee and (C) any Person controlling, controlled by or under common control with such Proposed Nominee or a Proposed Nominee Associated Person.

  • Affiliated Association means an Association accorded the status of an Affiliated Association under the rules of The FA.
