This Note shall be senior to the Convertible Promissory Notes convertible into shares of Series H Preferred Stock issued to FMR Corporation, Fidelity Ventures Limited, ▇▇▇▇▇▇▇ Technology Partners, Boston Capital Ventures , Limited Partnership and the Payee by the Company on the date hereof (the “Series H Notes”).
In addition, the Company agrees to furnish Advent and Fidelity Ventures ("Fidelity") with copies of (i) materials prepared by or on behalf of the Company and circulated to the Board of Directors, and (ii) any correspondence between the Company and members of the Board of Directors.
In the event that the parties eligible to become Additional Investors (the “Eligible Additional Investors”) do not purchase all of the Additional Series I Shares at the Closing, the Company will sell and issue to Fidelity Ventures, and Fidelity Ventures agrees to purchase from the Company, the aggregate number of Additional Series I Shares not purchased by the Eligible Additional Investors at the Closing, at the Purchase Price.
Prior to the Effective Time, Parent and Acquisition Sub shall hold in confidence all such information on the terms and subject to the conditions contained in that certain confidentiality agreement between Fidelity Ventures Limited and the Company (the "Confidentiality Agreement") the provisions of which shall survive the termination of this Agreement.
