Fidelity Data definition

Fidelity Data means all data or information regarding Fidelity's business, including information relating to customers, employees, technology, operations, facilities, consumer markets, products, capacities, systems, procedures, security practices, research, development, business affairs and finances, innovations, inventions, designs, business methodologies, improvements, trade secrets, copyrightable and patentable subject matter and other similar information obtained by or disclosed to or submitted to MGEN by or on behalf of Fidelity in connection with the performance of this Agreement or any applicable Project Scope Document. It is expressly agreed and understood that Fidelity Data is "Confidential Information" under Section 8.6.

Examples of Fidelity Data in a sentence

  • Subject to section 613 of the FCRA, client agrees to compensate Fidelity Data Service for the verification of public record items likely to have adverse impact on the consumer at the authoritative source of the record.

  • Fidelity Data Service represents and warrants that services will be performed in a diligent and professional manner in accordance with applicable industry standards.

  • Client shall maintain reasonable and appropriate technical, physical and administrative measures to protect against unauthorized access to and or misuse of the Fidelity Data system and consumer reports.

  • Client agrees that Fidelity Data Service shall not be liable to Client for any other damages, costs or expenses whatsoever except as expressly agreed to above or pursuant to Section 7(b) herein, and that neither party shall be liable to the other for punitive, exemplary or consequential damages.

  • At all times, both during this Agreement and after its termination, Client shall not disclose any Confidential Information without prior written consent of Fidelity Data Service.

  • Fidelity Data Service shall use its best efforts to provide complete and accurate information to Client; however, Client recognizes that Fidelity Data Service cannot guarantee the accuracy of the information provided because such information is subject to human error and obtained from public records and other third party sources that are not under the direct control of Fidelity Data Service and accurate, valid or complete may not always be accurate or current.

  • If MGEN provides the Designated Services to Fidelity from an MGEN Service Location that also provides services to or processes data for any other MGEN customer, MGEN shall, in addition to its obligations under Section 2.13.2, at Fidelity's request, demonstrate to Fidelity's reasonable satisfaction that Fidelity's Confidential Information and Fidelity Data will not be disclosed to any such other MGEN customer.

  • Fidelity Data shall be and remain the property of Fidelity, and shall be "Confidential Information" under Section 8.6. Upon the termination of this Agreement for any reason, or on such date that the same shall no longer be required by MGEN in order to provide the Services, Fidelity Data shall be either erased from the data files maintained by MGEN or, if Fidelity so elects, returned to Fidelity by MGEN at MGEN's expense.

  • MGEN agrees that Fidelity Data shall be stored in industry-standard formats, and shall be readily portable to industry-standard, off-the-shelf database applications.

  • Except to the extent otherwise agreed by the Parties in a Project Scope Document, MGEN shall establish and maintain good and sound safeguards against the destruction, loss or alteration of the Fidelity Data in the possession of MGEN.
