Amend, modify, adjust, revise or supplement, in any manner that would be adverse to the interests of the Lenders, including the interest of the Lenders in receiving the prepayment provided for in Section 2.1(e)(ii), any provision, term, agreement, representation, covenant or default or event of default contained in, or waive, acquiesce in or fail to enforce its rights with respect to any provision of, the FIBC Escrow Agreement without the prior consent of the Agents and all of the Lenders.
