I understand that pursuant to the terms of the Agreement of Merger, dated as of July 15, 2004 (the “Merger Agreement”), by and between FFB and First Federal Savings and Loan Association, a federally chartered mutual savings and loan association (“FFSL”), FFB will be acquired by FFSL by means of a merger (the “Merger”).
I further understand that as a result of the Merger, I may receive shares of common stock, par value $0.01 per share, of Kentucky First Federal Bancorp, Inc., the federal subsidiary holding company to be formed by FFSL (“Kentucky First Common Stock”) in exchange for shares of common stock, par value $0.01 per share, of FFB (“FFB Common Stock”).
FFSL shall have the right to review and verify records related to the Participation Commitment.
I further understand that as a result of the Merger, I may receive shares of common stock, par value $0.01 per share, of Kentucky First Federal Bancorp, Inc., the federal subsidiary holding company to be formed by FFSL ("Kentucky First Common Stock") in exchange for shares of common stock, par value $0.01 per share, of FFB ("FFB Common Stock").
The value of Participation Commitment expenditures and activities may, in certain instances, “carry-over” to the next fiscal year with the approval of the respective FFSL Area Manager.

FFSL will provide: • Funds as appropriate and made available, including funds for projects, monitoring, research and planning; • Coordination and implementation of projects and private landowner involvement; • Annual notification of projects occurring on private property; and • Volunteer coordination and in-kind services as appropriate.
