The Contractor shall refund the balance of any and all payments and/or deposits made after deducting any outstanding sums owing by the FEO entity to the Contractor by reason of this clause.
Where Services are procured, the Contractor shall commence the performance of the Services on the date stipulated under the section “Delivery/Commencement Date” in the Purchase Order, or if no such date specified, as directed by the FEO entity.
If the event that the FEO entity discovers Suspect Parts or Counterfeit Parts, the FEO entity will notify the Contractor and the Contractor shall within fourteen (14) days, establish to the satisfaction of the FEO entity the authenticity of the alleged parts or replace the same.

The Contractor shall, within fourteen (14) days of the date of the notice of default, rectify and/or remedy the default or propose a solution acceptable to the FEO entity.
Goods or any parts of the Goods that are not provided by these sources are not permitted unless the prior written approval of the FEO entity is obtained.
Where the return of certain information is impractical, the Contractor must erase all such information and give the FEO entity written confirmation of this process.
The Contractor shall indemnify the FEO entity and its directors, officers, employees and representatives against all Intellectual Property Rights infringement claims including any costs, charges, expenses (including legal fees on an indemnity basis), actions and proceedings in respect thereof.
The FEO entity is not obliged to receive any Goods earlier than the date for delivery.
The Contractor shall maintain a method of item traceability that ensures tracking of the supply chain back to the manufacturer of the Goods and shall make available all relevant documentation for item traceability as and when required by the FEO entity.
