Fenwick has the meaning set forth in Section 11.21 of this Agreement.
Fenwick shall pay to Talarian upon execution of this Sub-Sublease, in addition to the Deposit set forth in Section 3(d) below, the first month's Base Rent in the amount of $23,354.00 which shall be applied to the first month of the term (if the term begins on the first day of a month) or to the first thirty-one days of the term (if the term begins on any day other than the first day of a month).
