Feeder Vehicles definition

Feeder Vehicles means any Shareholder that is an investment vehicle formed by the AIFM or its Affiliates for the purpose of investing all of its assets (other than cash pending subscription, redemption and payment of expenses) in a Sub-Fund (or in any Alternative Investment Vehicle).
Feeder Vehicles means RPI International Holdings 2019, LP and RPI US Partners 2019, LP.

Examples of Feeder Vehicles in a sentence

  • Such books and records, together with all documents and records (including electronic messages) relating to the Private Vehicles and the Feeder Vehicles (collectively, the “Private Vehicle Documents”), shall be retained by the General Partner until the three-year anniversary of the termination and dissolution of the Partnership.

  • The General Partner, the Management Company or their respective Affiliates may organize and operate, on a discretionary or non-discretionary basis, one or more investment vehicles (each, a “Feeder Vehicle”) to be admitted as Limited Partners for the purpose of permitting certain investors to invest, through such Feeder Vehicles, in the Fund.

  • The General Partner may, including for legal, tax, regulatory or other reasons, require any Limited Partner or other investor to invest in the Partnership or any Parallel Vehicle indirectly through one or more Feeder Vehicles.

  • Feeder Vehicles shall not be considered a Sponsor Related Limited Partner or otherwise an Affiliate of the General Partner or the Management Company for any purpose under this Agreement.

  • The Advisory Committee shall constitute a committee of the Fund and the Feeder Vehicles and shall take no part in the control or management of the Fund and the Feeder Vehicles, nor shall it have any power or authority to act for or on behalf of the Fund or Feeder Vehicles, and all investment decisions, as well as all responsibility for the management of the Fund and Feeder Vehicles, shall rest with the General Partner or the general partner of any Feeder Vehicle (as the case may be).

  • The Partnership and its related entities (including any Parallel Vehicles, Feeder Vehicles and Alternative Vehicles) may assume joint and several liability with one another for any Indebtedness and guarantees.
