FCO Approval definition

FCO Approval means the expiration of all required waiting periods with respect to the application for approval from the German Federal Cartel Office or a written statement from the German Federal Cartel Office confirming that the application referred to in Section 5.04 will not be reviewed.

Examples of FCO Approval in a sentence

  • The FCO shall have cleared the purchase of the 2nd Close Shares (or, as the case may be, have cleared the purchase of the 2nd Close Shares concurrently with its approval of the purchase of the 1st Close Shares in the 1st Close FCO Approval) by the Buyer (the “2nd Close FCO Approval”).

  • All required consents, approvals and authorizations of all relevant Governmental Bodies necessary for the 2nd Share Purchase shall have been obtained, in addition to the 2nd Close FCO Approval, and all required waiting periods required by such authorities shall have expired, including the 2nd Close FIA Approval.

  • The Company/Buyer TTA shall have become effective concurrent with the later of (A) the receipt of the 2nd Close FCO Approval and (B) the 1st Closing and shall continue to be in full force and effect in accordance with its terms.
