Recipients interested in developing a public safety broadband network in the 700 MHz band in their jurisdictions must adhere to the technical standards set forth in the FCC Waiver Order, or any succeeding FCC orders, rules, or regulations pertaining to broadband operations in the 700 MHz public safety band.
Emergency communications activities include the purchase of Interoperable Communications Equipment and technologies such as voice-over-internet protocol bridging or gateway devices, or equipment to support the build out of wireless broadband networks in the 700 MHz public safety band under the Federal Communications Commission (FCC) Waiver Order.
Except for the waiver to be sought pursuant to the FCC Waiver Request, no waiver of any FCC rule or policy is necessary to be obtained for the grant of the FCC Order, nor will processing pursuant to any exception to any rule of general applicability be requested or required in connection with the consummation of the Merger and the other transactions contemplated hereby.

Except as revised by Buyer in accordance with the previous sentence or as mutually agreed to by the parties, the FCC Waiver Request shall not otherwise be revised or amended except as mutually agreed by the parties.
