FC Member definition

FC Member means any Contributor Member who has contributed to the development of one or more Blu-ray Disc Format(s). “FC” is an abbreviation of “Format Creating”. For the avoidance of doubt, it shall be deemed that any Contributor Member has contributed to the development of a Blu-ray Disc Format if (i) such Contributor Member was eligible to vote in a TEG on the Blu-ray Disc Format to be presented to the BOD (via the JTC) for approval or (ii) such Contributor Member was not eligible to vote in a TEG on the Blu-ray Disc Format to be presented to the BOD (via the JTC) for approval but has received a decision of the TEG Chair and TEG Vice Chairs based on their sole discretion that such Contributor Member has contributed to the development of the Blu-ray Disc Format after such Contributor Member demonstrated its contribution on the Blu-ray Disc Format to the TEG Chair and TEG Vice Chairs.

FC Member means FC Eighth Ave., LLC, a Delaware limited liability company; provided, however, that references to the FC Member in definitions referring to contracts or other instruments entered into prior to the date hereof shall continue to refer FC Lion LLC, a New York limited liability company.
