  • The obligation of the Buyer to pay the Positive Difference shall be satisfied through the issuance by Farfetch on behalf of the Buyer of a number of Class A Farfetch Shares to be calculated as follows: Positive Difference divided by the weighted average volume price of Class A Farfetch Shares of the 10 (ten) trading days prior to the date of payment.
