▇▇▇▇▇▇ Formula means, with respect to the payment of investment banker's or similar fees, fees based upon the aggregate consideration paid (regardless of the form of the consideration) in the acquisition of assets or stock of any Person on the following basis: 5% of the first $1,000,000 of aggregate consideration; 4% of the next $1,000,000 of aggregate consideration; 3% of the next $1,000,000 of aggregate consideration; 2% of the next $1,000,000 of aggregate consideration; and 1% of all additional amounts of aggregate consideration. Landlord's Consents. Provide the Bank with landlord's consents with respect to (i) the location listed on Exhibit O on or before March 15, 1996 and (ii) any other location of the Company or any Guarantor at which is maintained collateral with a book value equal to or greater than $500,000 (other than in-plant stores) within 60 days of the date on which the Company or such Guarantor first maintains collateral at such location with a book value equal to or greater than $500,000. Further Assurances. Take, and cause each Material Subsidiary to take, such actions as the Bank may reasonably request from time to time (including, without limitation, the execution and delivery of guaranties, security agreements, pledge agreements, financing statements and other documents, the filing or recording of any of the foregoing, and the delivery of stock certificates and other collateral with respect to which perfection is obtained by possession) to ensure that (i) the obligations of the Company hereunder and under the other Loan Documents are secured by substantially all of the personal property of the Company and guarantied by all Material Subsidiaries of the Company (including, promptly upon the acquisition or creation thereof, any Material Subsidiary acquired or created after the date hereof) and (ii) the obligations of each Material Subsidiary under the Guaranty are secured by substantially all of the personal property of such Material Subsidiary, subject, in the case of both clause (i) and clause (ii) above, to such exceptions as the Bank may permit from time to time.

  • In the event of the Company consummates a business combination with any such Company presented by the Consultant (whether the Company is acquiring Company or the target Company or survives or does not survive a merger), the Company will pay to the Consultant a fee in accordance with the generally accepted industry standards (the ▇▇▇▇▇▇ Formula) or as may otherwise be agreed upon between the Consultant and the Company in advance.

  • The ▇▇▇▇▇▇ Formula will be calculated using the total value of the amount(s) paid for the Acquisition whether in stock, cash, notes, warrants etc.

  • The Company agrees to pay to Consultant a fee based on the "▇▇▇▇▇▇ Formula" for equity or debt funds received by the Company from third parties introduced to the Company by Consultant.

  • For example; Merger & Acquisition fees: The ▇▇▇▇▇▇ Formula applies plus a setup fee and/or monthly per diem based on the extent of the services required usually between $3,000 and $10,000 per month for one (1) to six (6) months.

  • Payout Formula means as to any Performance Period, the formula or payout matrix established by the Committee pursuant to Section 3.4 in order to determine the Actual Awards (if any) to be paid to Participants. The formula or matrix may differ from Participant to Participant.
