Failed Settlement definition

Failed Settlement has the meaning given to such term in Section 3(f) of this Agreement.
Failed Settlement means, with respect to any Notes for which a Call Option Exercise Notice has been given by or on behalf of the Issuer, moneys sufficient to pay the Redemption Price plus accrued interest of such Notes subject to redemption are not on deposit with the Issuing and Paying Agent by 12:30 p.m. on such designated Redemption Date.
Failed Settlement means, with respect to any 2003 Bonds bearing interest at a Flexible Rate for which a Directed Mandatory Tender Exercise Notice has been given by or on behalf of the Agency, moneys sufficient to pay the mandatory tender purchase price of such 2003 Bonds bearing interest at a Flexible Rate are not on deposit with the Trustee by 12:30

Examples of Failed Settlement in a sentence

  • This Agreement shall terminate upon the earliest to occur of (i) the completion of all of the releases, deliveries and disbursements provided for in Section 4 hereof, (ii) the return of all Closing Documents, funds and other documents in connection with a Failed Settlement in accordance with Section 3(g) of this Agreement or (iii) the mutual written agreement of the parties to this Agreement that this Agreement should be terminated.

  • ASX Settlement means ASX Settlement Pty Ltd (ABN 49 008 504 532);
