Factor Payment definition

Factor Payment means, with respect to any Sold Account, the sum of (i) all Customer Payments in respect of such Sold Account remitted by the Servicer to the Factor plus (ii) all Dilution Adjustments paid by or on behalf of Midway to the Factor in respect of such Sold Account.

  • At the Closing, the Selling Stockholder shall make a payment to the Purchaser equal to the interest accrued on the amount borrowed by the Purchaser solely to fund the deposit of the Purchase Price for up to the first eight days after the initial deposit thereof with the Escrow Agent (such eight-day period, the "Maximum Borrowing Period") at an interest rate not to exceed the One Month LIBOR rate plus one hundred basis points based on a 365 day year (the "Borrowing Factor Payment").
