Facility transfer definition

Facility transfer means the transfer of a facility from a transferring party to a receiving party in accordance with Subsection (3).
Facility transfer has the meaning set forth in Article 18.1.
Facility transfer is defined in Section 3.6.

  • The parties acknowledge that future projects or programs which may be undertaken or proposed by Contractor (including, without limitation, a project or program for a Material Recovery Facility, Transfer Station, or a Yard Waste Processing Facility), may be economically dependent in whole or in part upon Contractor’s revenues under this Agreement.

Other examples of individuals who may be qualified instructors for the purpose of providing training to meet the regulations of this chapter include, but are not limited to, instructors in a post-high school training institution and manufacturers’ representatives.

  • Excluded Transfer means any transfer of VRDP Shares (1) to a TOB Trust in which BANA and/or its Affiliates collectively own all of the residual interests, (2) in connection with a distribution in-kind to the holders of securities of or receipts representing an ownership interest in any TOB Trust in which BANA and/or its Affiliates collectively own all of the residual interests, (3) in connection with a repurchase financing transaction or (4) relating to a collateral pledge arrangement.

  • Securitization Transfer The sale or transfer of some or all of the Mortgage Loans to a trust or other entity as part of a publicly-issued or privately-placed, rated or unrated mortgage pass-through or other mortgage-backed securities transaction.

  • Whole Loan Transfer Any sale or transfer of some or all of the Mortgage Loans, other than a Securitization Transaction.

  • Relevant Transfer means a transfer of employment to which the Employment Regulations applies;

  • Permitted Transfer has the meaning set forth in Section 10.02.

  • Funds-transfer system means a wire transfer network, automated clearinghouse, or other communication system of a clearinghouse or other association of banks through which a payment order by a bank may be transmitted to the bank to which the order is addressed.

  • Approved Transferee means (a) a “qualified institutional buyer” (“QIB”) as defined in Rule 144A promulgated under the Securities Act that is a financial institution or commercial bank having capital and surplus of $5,000,000,000 or more, (b) an affiliate of the Funding Lender, or (c) a trust or custodial arrangement established by the Funding Lender or one of its affiliates the beneficial interests in which will be owned only by QIBs.

  • Transfer Restricted Note means any Note that bears or is required to bear the Restricted Notes Legend.

  • Funds-transfer business day of a receiving bank means the part of a day during which the receiving bank is open for the receipt, processing, and transmittal of payment orders and cancellations and amendments of payment orders.

  • Budget transfer means transfer of funding within a function / vote.
