Facility Start-Up definition
Facility Start-Up means the phase of the Work which includes the sub-phases of Contractor Start-Up, Performance Testing, and Fine Tuning and ends with Final Acceptance of the Work.
Facility Start-Up means the activities following completion of construction of the Facility, but prior to Acceptance Testing, that are necessary to accomplish the initial start up of the equipment within the Facility that generates electricity, steam and chilled water, including, without limitation, the flushing of lines, pressure testing of pipes, filling equipment with oils and other fluids, and the provision of any equipment vendor services relating thereto.

This assistance includes, in cooperation with District and the construction contractor: • Preparing a Facility Start-Up Plan and Schedule to identify specific actions and related completion dates for startup and operation of the new facilities.
The Purchase Price of the Note shall be subject to upwards adjustment in the event and to the extent that the Facility Start-Up Costs exceed the stated Purchase Price, by a maximum of 20%, or $3,000,000, in the absence of Buyer’s prior written consent to exceed the maximum upwards adjustment, which may be withheld in Buyer’s sole and exclusive discretion.
