Facility Product definition

Facility Product or “FC Products” means the facility under this Agreement and the diverse products detailed as per Schedule II of this Agreement.
Facility Product. The Energy, Installed Capability and all other associated ancillary services and NEPOOL products, including without limitation, reactive power, for which a NEPOOL market exists or is established and in operation during the term of this Agreement, actually produced by, or available from, the Facility in any hour.

  • The Sales Statement shall list all sales based on the terms and conditions agreed to at the time Facility Product was placed on consignment with RCR.

  • Notwithstanding the foregoing, in no event shall RDC be required to manufacture and deliver to RCR more than that amount of Facility Product that RDC and RCR have agreed that RCR shall purchase from RDC pursuant to Section 2.1. It is expressly understood and agreed that RCR may purchase Facility Products hereunder for its own account as well as for resale to its customers.

  • AbbVie and its designated representatives shall have the right to inspect the Facility, Product, reference samples, full supply histories and records at reasonable times during Company’s normal business hours.

  • In the event the Company seeks damages hereunder, the measure of damages shall be calculated by determining the difference between the net present value of the purchase price for Facility Product to be delivered hereunder calculated pursuant to Article 5 and the net present value of the cost of power required to replace Facility Product to be delivered hereunder.

  • Title to and risk of loss with regard to the Facility Product to be purchased by the Company hereunder shall transfer from Seller to the Company at the Delivery Point.

  • Purchaser and its designated representatives shall have the right to inspect the Facility, Product, reference samples, full Manufacturing histories, and Records at all reasonable times during Manufacturer’s normal business hours.

  • Notwithstanding anything herein to the contrary, Cayman shall not undertake any modifications to the Facility, Product manufacturing or testing processes, Specifications, or filing that could impact Aerie Marketing Applications, Marketing Authorizations, regulatory product reviews, NDA, IND, or any other compliance status without prior agreement of Aerie.

  • In the event the Seller seeks damages hereunder, the measure of damages shall be calculated by determining all amounts potentially owing between the Parties, calculating the net present value thereof, and deducting the net present value of the potential resale value of all Facility Product to be delivered hereunder, all calculations to be made in a commercially reasonable basis.

  • Operator shall maintain accurate records of operations of the Project and activities conducted at the Facility, including amounts of Feedstock acquired, Feedstock processed by the Facility, Enzyme used, Enzyme stored at the Facility, Product produced (separated by category), Product delivered (separated by category and customer), laboratory reports required under Section 5 hereof, and such other records reasonably deemed necessary or appropriate by Project Company.

  • Within fifteen (15) days after the end of each month during the Term of this Agreement, Sephora will issue a report to AAI that details for the prior month (and cumulatively year-to-date) the calculation of Net Revenue, Capital Expenditures, Adjacent AAI Facility Product Revenue, Adjacent AAI Facility Service Revenue, and net profit from Sephora Alliance Stores calculated in accordance with Schedule 4 attached hereto and incorporated herein by this reference.
