Facility C Utilisation means a Letter of Credit Facility Office means the office or offices notified by a Lender to the Agent in writing on or before the date it becomes a Lender (or, following that date, by not less than five Business Days’ written notice) as the office or offices through which it will perform its obligations under this Agreement Fee Letter means any letter or letters between, as the case may be, the Arranger and the Borrowers, the Agent and the Borrowers, the Security Agent and the Borrowers or a Fronting Bank and the Borrowers setting out any of the fees referred to in clause 21 (Fees) or clause 13.3 (Fees payable in respect of Letters of Credit) and/or relating to syndication of the Facilities Finance Document means this Agreement, any Fee Letter, any Accession Letter, any Ancillary Facility Document, any Resignation Letter, any Security Document, any Hedging Document and any other document designated as such by the Agent and the Obligors’ Agent Finance Party means the Agent, the Security Agent, the Arranger, a Lender, a Hedging Bank or a Fronting Bank or an Ancillary Lender Financial Indebtedness means (without double counting) any indebtedness for or in respect of: (dd) moneys borrowed;

Examples of Facility C Utilisation in a sentence

  • A Borrower (or the Company on behalf of a Borrower) shall select the currency of a Revolving Facility Utilisation, a Facility B Utilisation or a Facility C Utilisation in the Utilisation Request for that Utilisation.

  • Within five (5) days after the first Facility C Utilisation Date, the Borrower shall provide the Facility Agent the original capital verification report evidence that an amount of USD 11,100,000 has been fully contributed into the Borrower by the Parent as increased capital.

  • The Borrower to which a Facility C Utilisation has been made may, if it gives the Agent not less than five Business Days’ (or such shorter period as the Majority Lenders may agree) prior notice, prepay the whole or any part of a Facility C Utilisation (but if in part, being an amount that reduces the Base Currency Amount of the Facility C Utilisation by a minimum amount of U.S. $1,000,000).

  • A Borrower (or the Company on behalf of a Borrower) shall select the currency of a Facility A Loan or a Facility C Utilisation in a Utilisation Request.

  • However, in case of the Deemed Facility B Utilisation and the Deemed Facility C Utilisation, respectively, no Utilisation Request in respect of Term Facility B and the Term Facility C, respectively, is required.
