The Borrower shall pay to the Administrative Agent, for its own use and benefit, the Term Facility Administration Fee (as defined in the Fee Letter) on the Closing Date, and annually in advance on each anniversary of the Closing Date, so long as the Term Facility is in effect, or as may be otherwise agreed between the Borrower and the Administrative Agent.
Seller acknowledges that Buyer shall retain a Facility Administrative Agent with respect to the Purchased Assets, and in such events Seller shall pay to Buyer a non-refundable Facility Administration Fee.
