Facilities Restructuring Costs definition
Facilities Restructuring Costs means closure costs, including costs associated with head-count reduction and severance and pension payments in connection with the closing of certain facilities and other costs associated with operational changes in connection with the Transactions that are identified in reasonable detail in a certificate of a Financial Officer to the Administrative Agent within 18 months from the Closing Date and in an aggregate amount not to exceed $50,000,000 (including the $25,700,000 of cost savings identified in the Confidential Information Memorandum).
