Fab Software definition
Fab Software means the software identified in Schedule 5, to the extent such software is used by Sellers at the Gresham Facilities in connection with their operation of the Fab as of the Closing Date, but excluding any third-party software licensed to any Seller.
Examples of Fab Software in a sentence
Delivery of the Process Technology Deliverables and any deliverables associated with the Ancillary Technology and the Licensed Fab Software will be deemed to have occurred when SCI takes possession of the ▇▇▇▇▇▇▇ Facilities on the Closing Date.
During the Restricted Period, ON Trading and SCI will not use, and will not allow its Affiliates to use, any of the Process Technology, Product Technology, or Licensed Fab Software to design, develop, improve, manufacture, distribute, market, or sell any Restricted Product.
