The Pharmaceutical Partners and RMS would like to engage in a collaboration to develop and commercialize a companion diagnostic test (RMS Product) for the prospective selection of EZH2 mutation positive Non-Hodgkin’s Lymphoma (NHL) patients for treatment with E7438.
The Researching Parties shall conduct a research collaboration program under which they will work together during the Research Term in accordance with a Research Plan to (a) discover and validate epigenetic targets in the following target Classes: [**] (but excluding BET and EZH2) (“Targets”), and (b) discover and develop compounds suitable for clinical development and commercialization that bind to and modulate such Targets (the “Research Collaboration”).

EPIZYME may publish or publicly disclose the results generated in the course of performing any of the Development or Commercialization activities directed to EZH2 conducted by EPIZYME under this Agreement without the prior written consent of EISAI, subject to EPIZYME first providing EISAI with an opportunity to review the proposed publication as set forth in Section 9.7.2, or as otherwise expressly permitted in Section 9.8 or otherwise in this Agreement.
The Parties expressly understand and agree that Constellation would in all cases retain sole control over Constellation’s BET and EZH2 programs.
The provisions of Article 8 shall be terminated, except Section 8.1. In addition, as between the Parties, EPIZYME shall have the right (but not the obligation) to prosecute, maintain and enforce all EISAI Collaboration Patents that are primarily applicable to EZH2 or EZH2 Compounds and licensed to EPIZYME pursuant to clause (d) above, under the same terms and to the same extent as EPIZYME had the right to prosecute, maintain and enforce the EISAI Collaboration Patents under Article 8 during the Term.
The provisions of Article 8 shall be terminated, except Section 8.1. In addition, as between the Parties, EISAI shall have the right (but not the obligation) to prosecute, maintain and enforce all EPIZYME Collaboration Patents that are primarily applicable to EZH2 or EZH2 Compounds and licensed to EISAI pursuant to clause (a) above, under the same terms and to the same extent as EPIZYME had the right to prosecute, maintain and enforce the EPIZYME Collaboration Patents under Article 8 during the Term.
Except to the extent expressly described in this Agreement, including all exhibits attached hereto, neither Party shall have any obligation under this Agreement with respect to BET or EZH2, including any obligation to use for purposes of this Agreement, or otherwise provide to the other Party, anything discovered in such Party’s activities with respect to BET or EZH2.
For the avoidance of doubt, except as otherwise expressly provided in the Agreement and/or set forth in the Research and Development Plan, from and after the Amendment Effective Date during the Term, EISAI and its Affiliates and Sublicensees shall not conduct chemistry Development activities on any Compounds directed towards EZH2.
EISAI desires to obtain exclusive rights from EPIZYME, and EPIZYME desires to grant such rights, to further Develop and Commercialize such compounds directed to EZH2 for any and all uses in the Territory (as defined below) and, if EPIZYME exercises the Profit-Sharing Option (as defined below), to jointly Develop and Commercialize such compounds, all on the terms and conditions set forth herein.
