Extra Effort definition

Extra Effort shall have the meaning set forth in Section 6.1.5. For the sake of clarity, Extra Effort shall not include any Incremental Sales Force Effort.

Examples of Extra Effort in a sentence

  • Nonmonetary Extra Effort Awards: recognition given for a specific outstanding accomplishment such as a superior contribution on a short term assignment or project, an act of heroism, scientific achievement, major discovery or significant cost savings.

  • Monetary Extra Effort Awards: recognition given for a particular accomplishment such as those defined in Section 2.a above.

  • These awards include, but are not limited to, Package Awards, Extra Effort Awards, Quality Step Increases, Spot Awards, Keepsake Awards, Time Off Awards, etc.

  • The Party incurring the Extra Effort Expense shall report the same to the other Party as part of the reports submitted under Section 6.1.8(d).

  • If AHPC is the Party providing the Extra Effort, AHPC shall be reimbursed for its Extra Effort Expense by deducting the Extra Effort Expense incurred for such Calendar Quarter from the Net Sales of such Product sold during such Calendar Quarter before the allocation of Net Profits for such Calendar Quarter.

  • If Wyeth is the Party providing the Extra Effort, Wyeth shall be reimbursed for its Extra Effort Expense by deducting the Extra Effort Expense incurred for such Calendar Quarter from the Net Sales of such Product sold during such Calendar Quarter before the allocation of Net Profits for such Calendar Quarter.

  • All MRP employees are eligible for performance bonuses, Presidential Rank, and Extra Effort Awards (excluding spot and time-off awards.) Former employees are eligible for monetary and nonmonetary awards for recent contributions made while employed by the Agency.

  • These awards may be given at any time and there is no limit to the number of Extra Effort awards a Bargaining Unit Employee may receive.

  • If ViroPharma is the Party providing the Extra Effort, AHPC shall reimburse ViroPharma for its Extra Effort Expense by deducting such Extra Effort Expense from the Net Sales of such Product sold during such Calendar Quarter before the allocation of Net Products for such Calendar Quarter and distributing such deducted amount to ViroPharma simultaneously with the distribution of Net Profits to ViroPharma for such Calendar Quarter.

  • If ViroPharma is the Party providing the Extra Effort, Wyeth shall reimburse ViroPharma for its Extra Effort Expense by deducting such Extra Effort Expense from the Net Sales of such Product sold during such Calendar Quarter before the allocation of Net Products for such Calendar Quarter and distributing such deducted amount to ViroPharma simultaneously with the distribution of Net Profits to ViroPharma for such Calendar Quarter.

Related to Extra Effort

  • Reasonable Efforts means, with respect to any action required to be made, attempted, or taken by an Interconnection Party or by a Construction Party under Tariff, Part IV or Tariff, Part VI, an Interconnection Service Agreement, or a Construction Service Agreement, such efforts as are timely and consistent with Good Utility Practice and with efforts that such party would undertake for the protection of its own interests.

  • Active efforts means affirmative, active, thorough, and timely efforts intended primarily to maintain or reunite an Indian child with the Indian child's family. If an agency is involved in the child custody proceeding, active efforts must involve assisting the parent or a parent or Indian custodian with the steps of a case plan and including accessing or developing the resources necessary to satisfy the case plan. To the maximum extent possible, active efforts should be provided in a manner consistent with the prevailing social and cultural conditions and way of life of the Indian child's tribe and should be conducted in partnership with the Indian child and the Indian child's parents, extended family members, Indian custodians, and tribe. Active efforts are to be tailored to the facts and circumstances of the case. The term includes:

  • Reasonable Commercial Efforts means, with respect to the applicable obligation of the Company, reasonable commercial efforts for similarly situated, publicly-traded companies.

  • Commercially Reasonable Efforts means [***].

  • Diligent Efforts means, with respect to a Party’s obligations hereunder, the carrying out of obligations or tasks in a sustained manner consistent with the efforts a Party devotes to a research, development or marketing project for a pharmaceutical product or products of similar market potential, profit potential or strategic value resulting from its own research efforts, based on conditions then prevailing, which efforts shall in any event be no less than those which would be considered reasonable in the pharmaceutical or biotechnology industries.
