The Agents, the Forward Sellers and the Forward Purchasers shall have received the favorable opinions and negative assurances of Company Counsel and External Counsel required to be delivered pursuant to Section 8(p) on or before the date on which such delivery of such opinion and negative assurance is required pursuant to Section 8(p).
Upon termination of such Governing Agreement, the Firm and External Counsel shall have no further entitlement or access to Personal Information for any purpose whatsoever, unless required by law or otherwise expressly authorized by Company.

The Firm and External Counsel shall not authorize a subcontractor to process Company Data without the prior written consent of Company.
References in this Schedule A to the Firm and External Counsel shall include any partners, affiliates, representatives or subcontractors of the Firm and External Counsel, and the Firm and External Counsel shall remain liable for all actions of such partners, affiliates, representatives or subcontractors in respect thereof.
Barclays shall have received the favorable opinions and negative assurances of Company Counsel and External Counsel required to be delivered pursuant to Section 7(p) on or before the date on which such delivery of such opinion and negative assurance is required pursuant to Section 7(p).
The Firm and External Counsel acknowledges that it may be provided with and have access to, and deemed to be in custody or control of, Company Data in connection with a Governing Agreement.
