External Counsel definition

External Counsel means any counsel and instructing solicitors named in Part A of Annex A to this Order or bound by the US Protective Orders who are not employees of a Party but are retained to represent or advise a Party and are instructed in these proceedings, the Coll Proceedings or the US Proceedings by that Party.
External Counsel means any counsel and instructing solicitors named in Part A of Annex A to this Joint CRO who are not employees of a Party but are retained to represent or advise a Party and are instructed in the Epic Proceedings, the Coll Proceedings or the Rodger Proceedings by that Party.
External Counsel means a lawyer or law firm which has been approved by the University Secretary and General Counsel to provide legal services on a matter for the University.

  • The Agents, the Forward Sellers and the Forward Purchasers shall have received the favorable opinions and negative assurances of Company Counsel and External Counsel required to be delivered pursuant to Section 8(p) on or before the date on which such delivery of such opinion and negative assurance is required pursuant to Section 8(p).

  • The Firm and External Counsel shall not authorize a subcontractor to process Company Data without the prior written consent of Company.

  • References in this Schedule A to the Firm and External Counsel shall include any partners, affiliates, representatives or subcontractors of the Firm and External Counsel, and the Firm and External Counsel shall remain liable for all actions of such partners, affiliates, representatives or subcontractors in respect thereof.

  • Barclays shall have received the favorable opinions and negative assurances of Company Counsel and External Counsel required to be delivered pursuant to Section 7(p) on or before the date on which such delivery of such opinion and negative assurance is required pursuant to Section 7(p).

  • The Firm and External Counsel acknowledges that it may be provided with and have access to, and deemed to be in custody or control of, Company Data in connection with a Governing Agreement.
