Extension Price definition

Extension Price shall have the meaning set forth in Exhibit E hereto.
Extension Price means the price (subject to clause C4, in pounds sterling) exclusive of any applicable Tax, payable to the Supplier by the Council under the Agreement, as agreed between the Parties under clause C4, for the full and proper performance by the Supplier of its obligations under the Agreement during an Extension;
Extension Price means the price (that is higher than the Sale Price) offered by the Group 3 Sellers to the Acquirer for sale of such number of Shares in respect of which the Acquirer has extended the Put Option Period and Call Option Period (as defined below), plus simple interest at the rate of 12% per annum calculated from the date the Group 3 Sellers made the offer till the date on which such Equity Shares are acquired by the Acquirer.

Examples of Extension Price in a sentence

  • The Option shall be exercisable by the Company until November 30, 1999; provided, however, that on or prior to November 30, 1999, the Company may elect to extend the Option period until January 31, 2000 in exchange for payment by the Company of $100,000 (the "Extension Price") to be paid on the date such election, in cash by wire transfer of immediately available funds to an account specified in writing by the Sellers.

  • In the event of a discrepancy between the Unit Price and the Extension Price, the Unit Price shall govern.

  • In the event the Transaction is consummated, the Option Price and the Extension Price shall be applied toward the total cash purchase price of the Transaction.

  • Seller’s receipt of the Extension Price shall in no way prejudice Seller's rights in any action for damages or specific performance.

  • If Purchaser fails to take the actions contemplated by Section 8(b) of the Agreement on or before the Closing Date, the Extension Price shall be retained by Seller as consideration paid to keep the Seller's irrevocable and exclusive offer off the market through the extended Closing Date and shall not act as a credit to the Purchase Price or towards the purchase of the Leaseholds.

  • If Purchaser takes the actions contemplated by Section 8(b) of the Agreement on or before the Closing Date, the Extension Price shall be credited against the Purchase Price.

  • Purchaser acknowledges and agrees that the Extension Price is reasonable with respect to the time the Leaseholds will remain off the market due to the extension of the Closing Date.

  • Aproduct or model or brand is non-eligible if it is not included in the Warranty Extension Price List (which is deemed incorporated in this Contract) of the store where said Product was purchased.

  • Subject to the terms of the Duna Plaza Turnkey Development Agreement, Duna Plaza Rt. shall execute payment to PCE of the difference between the Estimated Duna Plaza Extension Price and those amounts of the Construction Period Payment paid on account during the construction period in terms of Section 8.3(r) above.
