The Extension Bonus Shares shall have a maximum hold period under Applicable Securities Laws of four months and one day from their date of issuance.

During Year 4 (2010) and/or Year 5 (2011), in the event there is a Shortfall and such Shortfall exceeds the Applicable Percentage (as indicated in Section III or Schedule A hereto) of the respective Year 4 or Year 5 Annual Net Segment Target then upon Amadeus’ request the unearned portions of the Extension Bonus will be repaid within 30 days of Amadeus’ invoice.
