Extended Offer Period definition

Extended Offer Period has the meaning set forth in Section 3.8(b).
Extended Offer Period means the period from the date of the Original Offer Document to and including the Extended Closing Date;
Extended Offer Period means the period of time commencing immediately after expiry of the Offer Period till 31st January, 2021, which can be further extended by the Committee, from time to time, at its sole discretion, within which Shares offered under the Scheme may be accepted by the Eligible Employees.

Examples of Extended Offer Period in a sentence

  • If the Offeror decides to extend the Offer Period, the Offeror and Geneba will issue a press release announcing an Extended Offer Period prior to 17:00 hours CETon the Closing Date, which press release will specify the closing date and time (the Extended Closing Date) of the Extended Offer Period.

  • The Offer Period may, at the sole discretion of the Offeror, be extended by the Offeror (the Extended Offer Period).

  • Depositary Receipt Holders tendering their Depositary Receipts under the Offer will receive the Offer Price less the NPEX Fee in respect of each Tendered Depositary Receipt within four (4) Business Days following the Closing Date and if the Depositary Receipts are tendered during the Extended Offer Period within four (4) Business Days following the Extended Closing Date.

  • The other terms and conditions applicable to the Offer during the Offer Period will equally apply to the Offer during the Extended Offer Period.

  • If during the Extended Offer Period the requisite Competition Authority approval is received, the Mandatory Offer shall be declared unconditional and as per Regulation 105 of the Companies Act, remain open for a further 10 Business Days.

  • The Committee shall determine the dates for commencement and closure of the Offer Period and Extended Offer Period, respectively which shall not extend beyond the date of commencement of Payment Window.

  • Extended Offer Period means the period between the Closing Date and the Extended Offer Date.

  • Any Employee intending to participate in the Scheme shall accept the Offer in one or more traches, as determined by the Committee at its discretion, by delivering to the Company a duly signed acceptance of the Offer within the Offer Period or Extended Offer Period, as the case may be.

  • The Offer Period and Extended Offer Period shall be specified in the Offer Letter communicated to each Eligible Employees.

  • In case of incurring of such incapacity during the Offer Period, the Purchase Price contemplated at Sub-clause 8.1(a)(i) shall apply and in case of such event during Extended Offer Period, Sub-clause8.1(a)(ii) shall apply.

Related to Extended Offer Period

  • Initial Offer Period means the period determined by the Directors during which Shares of any class are offered by the ICAV for purchase or subscription at the Initial Price.

  • First Offer Period has the meaning set forth in Section 13.5.

  • Offer Period has the meaning given such term in Section 4.1.

  • Permitted Offer means a tender offer or an exchange offer for all outstanding Common Shares of the Company determined by the Board of Directors of the Company, after receiving such advice as it deems necessary and giving due consideration to all relevant factors, to be in the best interests of the Company and its stockholders.

  • Net Proceeds Offer Trigger Date has the meaning set forth in Section 4.16.

  • Net Proceeds Offer Payment Date has the meaning set forth in Section 4.16.

  • Initial Offering Period means the initial period during which a Series of the Trust will offer its Shares prior to the commencement of investment operations of such Series;

  • Put Notice Date means the Trading Day, as set forth below, immediately following the day on which the Investor receives a Put Notice, however a Put Notice shall be deemed delivered on (a) the Trading Day it is received by facsimile or email by the Investor if such notice is received prior to noon Eastern Time, or (b) the immediately succeeding Trading Day if it is received by facsimile or otherwise after noon Eastern Time on a Trading Day. No Put Notice may be deemed delivered on a day that is not a Trading Day.

  • Extension Deadline means, with respect to a letter of credit, the Cutoff Time on the Business Day preceding the day on which the letter of credit expires.

  • Offer Commencement Date means the date on which Purchaser commences the Offer, within the meaning of Rule 14d-2 under the Exchange Act.

  • Initial Offer Price means the initial price payable for a Share as specified in the relevant Supplement for each Fund.

  • Initial Offer means the initial offer of Participating Shares in a Fund as set out in the applicable Supplement;

  • Net Proceeds Offer Amount has the meaning set forth in Section 4.16.

  • Base Offer Segment means a component of a Sell Offer based on an existing Generation Capacity Resource, equal to the Unforced Capacity of such resource, as determined in accordance with the PJM Manuals. If the Sell Offers of multiple Market Sellers are based on a single Existing Generation Capacity Resource, the Base Offer Segments of such Market Sellers shall be determined pro rata based on their entitlements to Unforced Capacity from such resource.

  • Net Proceeds Offer has the meaning provided in Section 4.16.

  • First Offer Notice shall have the meaning set forth in Section 14.4(a).

  • Non-Extension Notice Date has the meaning specified in Section 2.03(b)(iii).

  • Delayed Offering means an offering of securities pursuant to Rule 415 which does not commence promptly after the effective date of a registration statement, with the result that only information required pursuant to Rule 415 need be included in such registration statement at the effective date thereof with respect to the securities so offered. Whether the offering of the Securities is a Non-Delayed Offering or a Delayed Offering shall be set forth in Schedule I hereto.

  • Mandatory Tender Date means any date on which a Multi-Modal Bond is subject to mandatory tender in accordance with the Certificate.

  • Extended Repayment Date shall have the meaning provided in Section 2.5(c).

  • Extension Offer has the meaning specified in Section 2.15(a).

  • Notice Date has the meaning specified in Section 2.10.

  • Exercise Notice Deadline In respect of any exercise of Options hereunder on any Conversion Date, the “Scheduled Trading Day” prior to the scheduled first “VWAP Trading Day” of the “Observation Period” (each as defined in the Indenture, but, in the case of any such Observation Period, as modified by the provision set forth opposite the caption “Convertible Security Settlement Method”) relating to the Convertible Securities converted on the Conversion Date occurring on the relevant Exercise Date; provided that in the case of any exercise of Options hereunder in connection with the conversion of any Relevant Convertible Securities on any Conversion Date occurring during the period starting on and including June 4, 2020 and ending on and including the second “Scheduled Trading Day” immediately preceding the “Maturity Date” (each as defined in the Indenture) (the “Final Conversion Period”), the Exercise Notice Deadline shall be noon, New York City time, on the “Scheduled Trading Day” (as defined in the Indenture) immediately preceding the “Maturity Date” (as defined in the Indenture).

  • Mandatory Tender Notice means, in connection with the Mandatory Tender of VRDP Shares, a notice delivered by the Fund or the Tender and Paying Agent on behalf of the Fund to the Holders and the Liquidity Provider specifying a Mandatory Tender Event and Purchase Date.

  • Redemption Notice Date means, with respect to a Redemption, the date on which the Company sends the Redemption Notice for such Redemption pursuant to Section 4.03(F).

  • Tender Offer Date means, in respect of a Tender Offer, the date on which voting Shares in the amount of the applicable percentage threshold are actually purchased or otherwise obtained (as determined by the Calculation Agent).
