Examples of Extended Offer in a sentence
If the Purchase Option does not become exercisable due to (a) the termination or withdrawal of the Offer prior to its initial expiration date (or the expiration of an Extended Offer Period) or (b) the failure of Purchaser to accept for payment all Shares tendered and not withdrawn in the Offer, it shall be deemed to have expired.
If an Extended Offer is made, Merger Sub shall immediately accept for exchange all shares of Company Common Stock validly tendered and not withdrawn pursuant to the Extended Offer as they are tendered and shall exchange all such shares of Company Common Stock for shares of Manpower Common Stock as provided herein promptly after acceptance.
In this Agreement other than in this Article 1, the term “Offer” shall include the Extended Offer.
In addition, Merger Sub may extend the Offer after the acceptance of shares of Company Common Stock thereunder for a further period of time (not to exceed twenty (20) Business Days) by means of a subsequent offering period under Rule 14d-11 promulgated under the Exchange Act (the "Extended Offer") if, as of such date, shares of Company Common Stock representing less than 80% of the Diluted Share Amount have been tendered.
In this Agreement other than in this Article 1, the term "Offer" shall include the Extended Offer.
