Export Control License definition

Export Control License means any public or governmental li- cense, authorization, approval, permit or similar (whether tempo- rary or permanent) pertaining to the export, import, marketing, de- velopment, license manufacturing, distribution or re-export of the Products.
Export Control License means any public or governmental license, approval, permit or similar (whether temporary or permanent), issued directly or indirectly, by any United States or foreign authority which, from time to time, it is necessary to obtain in order to be entitled to market, import, export, or re-export products and/or provision of services, and/or transfer of technology and/or Intellectual Property Rights including without limitation, the U.S. Export Administration Regulations, and the U.S. International Traffic in Arms Regulations.

  • If one Party determines that any information, material to be used for the Project, Result, deliverable of the Project is subject to Export Control regulations and would require an Export Control License, then (a) that Party will promptly inform the other Parties of said Export Control regulations and (b) the Parties shall work together to obtain the required licenses before said controlled information or product(s) are exported.

  • Also, if it is determined that an Export Control License will be necessary to transport or disclose technology, this information and any licensing costs shall be shared between the Parties.
