Expense Invoice definition

Expense Invoice means an invoice or other document, in form and substance reasonably acceptable to Purchaser, evidencing the amount of a Transaction Expense.

Expense Invoice means an invoice or other document evidencing the amount of the applicable Transaction Expense. “Fraud” means actual, knowing and intentional fraud under Delaware common law committed by a Person with respect to the making of the express representations and warranties set forth in (a) with respect to the Company, Article III of this Agreement or the Company Closing Certificate, or (b) with respect to Purchaser or MergerSub, Article IV of this Agreement or the Purchaser Closing Certificate; provided, that, for the avoidance of doubt, “Fraud” shall not include constructive fraud, equitable fraud, promissory fraud, negligent misrepresentation or omission or any form of fraud or other torts premised on recklessness or negligence. “Fully Diluted Outstanding Shares” means, as of the applicable time of determination, (a) the aggregate number of issued and outstanding shares of Common Stock, plus (b) with respect to the aggregate number of shares of Preferred Stock issued and outstanding as of such time, the aggregate number of Preferred Share Common Equivalents, plus (c) the aggregate number of shares of Common Stock issuable upon exercise in full of all Vested In-the-Money Options outstanding as of such time, plus (d) the aggregate number of shares of Common Stock issuable upon exercise in full of all outstanding Warrants as of such time. “GAAP” means United States generally accepted accounting principles as in effect at the relevant time, consistently applied. “Governing Documents” means, when used with respect to an entity, the documents governing the formation, operation and governance of such entity, including (a) in the instance of a corporation, the articles or certificate of incorporation or formation and regulations or bylaws of such corporation, (b) in the instance of a limited liability company, the articles of organization or the certificate of formation and the operating agreement or limited liability company agreement of such limited liability company, (c) in the instance of a partnership, the partnership agreement of such partnership, and (d) in the instance of a limited partnership, the certificate of formation and the limited partnership agreement of such limited partnership. “Governmental Authority” means any (a) nation, region, state, county, city, town, village, district or other jurisdiction, (b) federal, state, local, municipal, foreign or other government, (c) governmental or quasi-governmental authority of any nature (including any governm...

Examples of Expense Invoice in a sentence

  • At the Closing, Buyer shall pay (or cause to be paid) the amount specified in each Closing Expense Invoice to the extent not paid prior to the Closing.
