Exit Options definition

Exit Options means any Stock Option that, by its terms, becomes exercisable solely upon a Change of Control of the Company (as defined in the 2000 Incentive Plan) if certain performance targets (as set forth in the stock option agreement between the Company and the holder of such Stock Options) are satisfied.
Exit Options means (i) the Put Option and (ii) the Call Option and “Exit Option” shall mean either one of them.
Exit Options and, together with the Service Options and the Exit Options, the “Options”).

More Definitions of Exit Options

Exit Options shall have the same meaning as such term is defined in the Option Agreement.
Exit Options means that number of Options set forth under the heading “Exit Options” on Schedule A, to which the vesting criteria set forth under the heading “Vesting—Exit Options” on Schedule A shall apply.
Exit Options has the meaning set forth in Section 3(c).

Related to Exit Options

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Parent Options means options to purchase shares of Parent Common Stock from Parent (whether granted by Parent pursuant to the Parent Option Plans, assumed by Parent or otherwise).

  • Vest means to become exercisable or to otherwise obtain ownership rights in an award.

  • Stock Options means the collective reference to "Incentive Stock Options" and "Other Stock Options".

  • Vested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • Investment Options means the investment options, as determined from time to time by the Committee, used to credit earnings, gains and losses on Account balances.

  • Unvested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Core Units means such Units of the Trust that are issued to Core Investors with the condition that these are not redeemable for a period of two years from the close of the First Offer Period. Such Units are transferable with this condition, but otherwise shall rank pari passu with all other Units, save for this restriction. Any transfer of the Core Units, during the first two years of their issue as mentioned herein, shall be affected only on the receipt by the Registrar of a written acceptance of this condition by the transferee.

  • Performance Option means an Incentive Stock Option or Nonqualified Stock Option, the grant of which or the exercisability of all or a portion of which is contingent upon the attainment of specified Performance Measures within a specified Performance Period.

  • Unvested Units means any Executive Units which are not Vested Units.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Incentive Stock Options means Option Rights that are intended to qualify as “incentive stock options” under Section 422 of the Code or any successor provision.

  • Company Equity Awards means the Company Options, Company PSUs and Company RSUs.

  • Options means any rights, warrants or options to subscribe for or purchase shares of Common Stock or Convertible Securities.

  • Performance-Based Restricted Stock means Shares issued or transferred to an Eligible Individual under Section 9.2.

  • Director Option means an Option granted pursuant to Section 6.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • CONCURRENT STOCK APPRECIATION RIGHT or "CONCURRENT RIGHT" means a right granted pursuant to subsection 8(b)(2) of the Plan.
