BMS shall reimburse Ambrx for the reasonable documented out-of-pocket costs incurred by Ambrx with respect to the shipping of such Existing Supply to BMS.
The Existing Supply transferred to BMS hereunder will be used by BMS solely for the purposes of this Agreement.

Following the execution of any such new supply agreement(s) or amendment(s) of any Existing Supply Agreement, the Parties shall amend this Agreement as necessary to make it consistent with the applicable terms of such supply agreement(s) or amendment(s).
The Existing Supply will be made available Ex Works (NOVARTIS’ facility in Basel, Switzerland) (Incoterms 2010) for no more than two shipments, and LICENSEE shall assume all responsibility for shipping, insuring, and receiving the Existing Supply from that facility.
This Agreement, those documents expressly referred to herein and other documents of even date herewith (i) embody the complete agreement and understanding among the parties, and (ii) supersede and preempt any prior agreements (including the Existing Supply Agreement, which is hereby terminated and of no further force or effect), summaries of terms and conditions, understandings, or representations by or among the parties, written or oral, which may have related to the subject matter hereof in any way.
Such Certificate of Analysis shall include (i) the manufacturing date and the expiration date for the Existing Supply and (ii) a statement confirming that such Existing Supply was manufactured in accordance with Good Manufacturing Practices.
NOVARTIS shall provide to LICENSEE a certificate of analysis (a “Certificate of Analysis”) with each shipment of Existing Supply stating that such Existing Supply conforms to such Specifications.
