Examples of Existing PSA in a sentence

  • For purposes of this Amendment, capitalized terms shall have the meanings ascribed to them in the Existing PSA unless otherwise defined herein.

  • In the event of any conflict between the terms contained in this Amendment and the Existing PSA, the terms herein contained shall supersede and control the obligations and liabilities of the parties.

  • Except as modified by this Amendment, the Existing PSA and all the covenants, agreements, terms, provisions and conditions thereof shall remain in full force and effect and are hereby ratified and affirmed.

  • The Existing PSA, as amended by this Amendment, is referred to collectively herein as the "Agreement." From and after the date hereof, the term "Agreement," as used in the Existing PSA, shall mean the Existing PSA, as amended by this Amendment.

  • The contribution and sale of the Existing Assets from RPA Seller to Purchaser are subject in each case to any rights in the Existing Assets transferred, assigned, set over or otherwise conveyed to the Certificate Trust Trustee pursuant to the Existing PSA.

  • The Existing PSA, as amended by this Amendment, is referred to collectively herein as the “Agreement.” From and after the date hereof, the term “Agreement,” as used in the Existing PSA, shall mean the Existing PSA, as amended by this Amendment.

  • Other than the security interest granted to the Certificate Trust pursuant to the Existing PSA, the RPA Seller has not pledged, assigned, sold, granted a security interest in, or otherwise conveyed any of the Receivables.

  • Existing PSA events and fundraising will continue as before, with the funds raised being deposited into the PSA Bank Account (including the PSA lottery) and allocated to the initiatives and bids from the school as laid out in the PSA’s constitution.

  • RPA Seller has not authorized the filing of and is not aware of any financing statements against RPA Seller that include a description of collateral covering the Receivables other than any financing statement (i) relating to the security interest granted to Certificate Trust under the Existing PSA or (ii) that has been terminated.

Related to Existing PSA

  • Existing Project is a Project that has achieved Commercial Operation on or prior to the Execution Date.

  • Existing Customer means an individual who has purchased goods or services from a person, who is the recipient of a voice communication from that person, and who either paid for the goods or services within the 12 months preceding the voice communication or has not paid for the goods and services at the time of the voice communication because of a prior agreement between the person and the individual.
