Existing PSA definition

Existing PSA shall have the meaning set forth in the recitals to this Agreement.

Examples of Existing PSA in a sentence

  • Except as modified by this Amendment, the Existing PSA and all the covenants, agreements, terms, provisions and conditions thereof shall remain in full force and effect and are hereby ratified and affirmed.

  • In the event of any conflict between the terms contained in this Amendment and the Existing PSA, the terms herein contained shall supersede and control the obligations and liabilities of the parties.

  • The Existing PSA, as amended by this Amendment, is referred to collectively herein as the “Agreement.” From and after the date hereof, the term “Agreement,” as used in the Existing PSA, shall mean the Existing PSA, as amended by this Amendment.

  • Following the date that is one (1) year after the Effective Date, the Company shall not activate any MES associated with an Existing PSA that remains a non-compliant PSA, unless the Company has undertaken the necessary steps to verify the information concerning an MES owner or operator that is required to be verified by the PSA using the procedures outlined in Annex Q.

  • Other than the security interest granted to the Certificate Trust pursuant to the Existing PSA, the RPA Seller has not pledged, assigned, sold, granted a security interest in, or otherwise conveyed any of the Receivables.

Existing PSA means the Pooling and Servicing Agreement, dated as of August 1, 1995, by and between First National Bank of Omaha, as Transferor and Servicer, and First National Bank of Chicago, as Trustee, as amended and restated as of June 26, 1997 and as further amended prior to October 24, 2002.
Existing PSA means that certain Purchase and Sale Agreement, dated as of June 30, 2017, among the Servicer, the Originator and the Buyer, as amended, supplemented or otherwise modified prior to the date hereof.
