On the Closing Date, Company and its Subsidiaries shall have (i) repaid in full with the proceeds of the Term Loan all Existing Notes Indebtedness, and (ii) delivered to Collateral Agent a payoff letter respecting the release upon such payment of all Liens securing Existing Notes Indebtedness or other obligations of Company and its Subsidiaries thereunder being repaid on the Closing Date.
The proceeds of the Term Loan together with the proceeds of the ABL Loans made on the Closing Date shall be applied by Company to repay the Existing Credit Agreement Indebtedness and the Existing Notes Indebtedness.
