Existing Common Facilities definition

Existing Common Facilities means any and all facilities, components, equipment and materials which are (a) utilized in support of the operation and maintenance of the Existing Units and one or both New Units, (b) owned by WEPCO and located on the Land (as such term is defined in the ERGS SC Unit 1 Ground Lease and the ERGS SC Unit 2 Ground Lease) and (c) in-place and operational prior to the initiation of construction of the Unit 1 Facility, as such facilities, components, equipment and materials may be repaired from time to time.
Existing Common Facilities means any and all facilities, components, equipment and materials which are (a) utilized in support of the operation and maintenance of the Oak Creek Power Plant and one or both of Elm Road Units 1 or 2, (b) owned or leased by WEPCO and (c) in-place and operational prior to the initiation of construction of Elm Road Unit 1, as such facilities, components, equipment and materials may be repaired from time to time.
Existing Common Facilities shall have the meaning specified in the Recitals to this Agreement.

Examples of Existing Common Facilities in a sentence

  • Owners shall be responsible for all sales and transfer taxes and recording fees incurred, if any, in connection with the conveyance to Owners of such undivided interests in Unit 2 and Existing Common Facilities, pursuant to this Agreement.

  • The revised Common Facilities Ownership Shares shall be used as the basis for the acquisition by KEPCO and MJMEUC of their shares of Existing Common Facilities, and any overpayment or underpayment by KEPCO and MJMEUC of costs of Common Facilities Upgrades resulting from the adjustment of their Common Facilities Ownership Shares shall be adjusted against their purchase price for the Existing Common Facilities.

  • The Unit 2 Owners intend to construct and own (in common with the Unit 1 Owners as provided herein) certain enhancements and improvements to the Existing Common Facilities in order to facilitate the joint operation of Unit 1 and Unit 2 (such enhancements and improvements, as more fully described in Exhibit D, the “Common Facilities Upgrades” and, together with the Existing Common Facilities, the “Common Facilities”).

  • Ad valorem taxes on the Existing Common Facilities for the year in which the Reciprocal Conveyance Date occurs shall be prorated between KCPL and the other Owners based upon their Common Facilities Ownership Shares.

  • If the resulting product is a positive number, DPC shall pay that amount of dollars to WPSC (in this situation, DPC is acquiring a larger percentage interest in those Weston New or Existing Common Facilities).

  • WPSC shall also provide DPC with such information in WPSC's possession as DPC may reasonably request to permit DPC to determine the status of work on the Weston New and Existing Common Facilities, start-up and commissioning, training, permitting, interconnections, project budgets and construction budgets (including change orders).

  • Each Company shall be liable for and pay for all costs, other than fuel and variable unit train costs and the costs of transmission and delivery of Weston 4 energy after the point of interconnection with the ATC transmission system, incurred in connection with such facilities in proportion to their Ownership Shares in Weston 4, or in the case of the Weston New or Existing Common Facilities, in proportion to their New Common Ownership Shares or Existing Common Ownership Shares, as applicable.

  • Roads so added are subject to all Sections of this agreement and may be subject to the additional provision.

  • WPSC shall determine the amount of this initial operating deposit based on the forecasted monthly expenditures for Weston 4 and the Weston New and Existing Common Facilities, excluding insurance and purchased natural gas costs.

  • DPC shall otherwise not be authorized to enter into any contract, judgment or settlement associated with the design, engineering, procurement, licensing, permitting, interconnection, administration, construction, modification, repair, operation, maintenance, transportation or fuel procurement of Weston 4 or of the Weston New or Existing Common Facilities without the express, prior written approval of the JPOC.
