  • No later than 90 days after the Closing Date, the Custodian agrees pursuant to the Custodial Agreement, for the benefit of the Certificateholders, to review each Mortgage File delivered to it and to execute and deliver, or cause to be executed and delivered, to the Seller and to the Trustee an interim certification substantially in the form annexed as Exhibit Two to the Custodial Agreement.
