Exercise Schedule definition

Exercise Schedule means the schedule set forth in the Grant Notice pursuant to which the option is to vest and become exercisable for the Option Shares in one or more installments over the Optionee’s period of Service.

More Definitions of Exercise Schedule

Exercise Schedule means the schedule set forth in Paragraph 1 of the Agreement, pursuant to which the option is to vest and become exercisable for the Option Shares in two (2) successive equal annual installments over Optionee’s period of Continuous Service.

Exercise Schedule means the schedule set forth in the Stock Option Agreement for the Option, pursuant to which the Option is to vest and become exercisable in a series of installments over Optionee's period of employment with the Corporation. EXPIRATION DATE shall mean the expiration date of the ten (10)-year term of the Option. OPTION SHARES shall mean the shares of the Corporation's common stock subject to the Option in question.

Exercise Schedule. Except as otherwise provided in Section 2.2 ----------------- of the Agreement and in Section 6.8 of the KPMG Consulting, Inc. 2000 Long-Term Incentive Plan (the "Plan"), the Option shall become exercisable (i) on ---- the first anniversary of the Option Date with respect to 33-1/3% of the number of shares subject thereto on the Option Date, (ii) on the second anniversary of the Option Date with respect to an additional 33-1/3% of the number of shares subject thereto on the Option Date, and (iii) on the third anniversary of the Option Date with respect to the remaining 33-1/4% of the number of shares subject thereto on the Option Date.

Exercise Schedule. One Hundred percent (100%) of the Options subject to this Agreement shall first be exercisable on August 10, 2000 (the date one (1) year after the Date of Grant specified above to be treated as a qualified option.)

To exercise this option in whole or in part (usually, a minimum of 100 shares) at least one full business day prior to the date you wish to exercise the option you must deliver to the Company a written notice of exercise and the exercise price, in cash or by check, for the number of shares you desire to purchase. You also may pay through irrevocable instructions to a stock broker to deliver the amount of sales proceeds necessary to pay the exercise price in accordance with applicable governmental regulations. You also must execute such other documents as the Company may request. You should contact the Company in advance when you are considering an exercise of this option.

Exercise Schedule. The Option shall not be exercisable and the Option Shares shall not be vested until a Triggering Event (as defined below) has occurred. If no Triggering Event has occurred by the third anniversary of the Vesting Commencement Date, then the Option Shares shall remain unvested and unexercisable and the Option shall terminate. If a Triggering Event occurs by the third anniversary of the Vesting Commencement Date, however, Optionee shall acquire a vested interest in, and the Option shall become exercisable with respect to, all of the Option Shares.

Exercise Schedule means the schedule set forth on Annex A hereto, as may amended from time to time.
