Exercise Expense definition
Exercise Expense means all taxes, duties and/or expenses, including any applicable depository charges, transaction or exercise charges, stamp duty, stamp duty reserve tax, issue, registration, securities transfer and/or other taxes or duties arising in connection with (i) the exercise of such Warrants, and/or (ii) in the case of Physical Delivery Warrants only, the delivery or transfer of the Entitlement pursuant to the terms of such Warrants;
