Executive Fund definition

Executive Fund has the meaning set forth in Section 6.14.
Executive Fund means $750,000.

  • Nothing in this Section 3.4 shall restrict or apply to the formation of, or restrict the operation of, the Parallel Fund or the Executive Fund.

  • For purposes of this Section 6.4(a), “guarantees” shall exclude any guarantees as to which the Partnership has a right of contribution, subrogation or reimbursement from or against the Parallel Fund, the Executive Fund, any co-investor, any Alternative Investment Vehicle or any other Person deemed creditworthy in the reasonable discretion of the General Partner.

  • Following a sale by the Partnership to the Executive Fund pursuant to this Section 6.14, the General Partner may elect to distribute all or any portion of the proceeds from such sale to the Partners pro rata according to their respective Sharing Percentages with respect to the Investment(s) sold.

  • Except as set forth in Section 6.14(b), to the extent reasonably practical, the Executive Fund shall dispose of any Portfolio Investment interests at substantially the same time, on substantially the same terms, and in the same relative proportions as the Partnership disposes of its investment in such Portfolio Investment interests, in each case, except to the extent reasonably necessary or advisable to address tax, regulatory, accounting, legal or other considerations.

  • Notwithstanding the foregoing, the obligations under this Section 6.11(b) shall not affect or restrict the ability of (A) an existing fund or (B) any other fund the commencement of operations of which is not prohibited under Section 6.12 to invest all or a portion of its available capital (whether as follow-on investments, new investments or otherwise) without offering any such opportunity to the Partnership, the Parallel Fund and the Executive Fund.

  • The Executive Fund (subject to Section 7.14) shall bear its pro rata share (based upon its and the Partnership’s aggregate capital commitments) of fees and expenses that would otherwise be Partnership Expenses relating to the negotiation, consummation and disposition of each investment in a Portfolio Investment by the Executive Fund hereunder and such amount shall not be Partnership Expenses for purposes of this Agreement.

  • The ultimate ownership of each of the Investor Group Investments shall be split among the Partnership, the Parallel Fund and the Executive Fund in accordance with the provisions of Sections 6.14 and 6.15.

  • If the Executive Fund is formed it shall have different terms and conditions that are more or less favorable than the terms and conditions of the Partnership.

  • The Partnership may also incur letter of credit obligations and hedging, swap and other similar obligations (on a secured or unsecured and recourse or nonrecourse basis), including on a joint and several basis with the Parallel Fund, the Executive Fund, any co-investor or any Alternative Investment Vehicle or otherwise in connection with the Partnership’s business and activities permitted hereunder.

Related to Executive Fund

  • Administrative fund means that Fund established by Section 6.1 and administered pursuant to Section 6.9.

  • Expense Fund has the meaning set forth in Section 10.1(e).

  • Employee Account means any brokerage account or unit investment trust account in which the Van Kampen Employee has any direct or indirect beneficial ownership.

  • Sub-Fund means a segregated pool of assets and liabilities into which the Trust Fund is divided, established under the Trust Deed and the relevant supplemental deed as a separate trust as described in the relevant Appendix.

  • Enterprise Fund means the enterprise fund of the Recipient in which Revenues are deposited.
