If the Designee Managers are unable to resolve the dispute within such time period, the Executive Contacts of the parties shall meet within thirty days after the date of receipt of the Dispute Notice to attempt to reach an agreement about the nature of the dispute and a resolution of the dispute.
In the event of any dispute or disagreement (each a “Dispute”) between the Parties or any of their respective subsidiaries, affiliates, successors and assigns under this Agreement or any document executed pursuant to this Agreement which cannot be resolved by the Parties, then the Dispute shall be submitted to the Executive Contacts (as defined below) for resolution.
If the Executive Contacts cannot resolve the dispute within such time period or any agreed upon extension, or if the terms and conditions of the resolution or settlement of the dispute are breached, either party may institute legal proceedings or litigation against the other as it deems necessary.
For ten (10) Business Days after the Dispute was submitted to the Executive Contacts, the Executive Contacts shall meet in person or by phone and attempt in good faith to resolve such Dispute; provided further, that the Executive Contacts shall have the final and exclusive right to resolve Disputes arising from any provision of this Agreement which expressly or implicitly provides for the Parties to reach mutual agreement as to certain terms.
After such escalation, the Executive Contacts will meet in person or by phone and attempt in good faith to resolve such Disagreement.
If the administrators are unable to resolve the dispute within such time period, the Executive Contacts of the parties shall meet within thirty days after the date that the non-sending party receives the Dispute Notice in a good faith attempt to reach an agreement about the nature of the dispute and a resolution of the dispute.
If the Executive Contacts are unable to reach resolution, the matter may be further escalated.
If Enlighten and Intel are unable to agree on any significant aspect of a SOW (e.g., timeline, resources required, price) for any features/functionality required by Intel which is not on Enlighten's roadmap, such issues shall immediately be escalated to the Executive Contacts below for resolution.
If the Executive Contacts cannot resolve the dispute within such time period or if the terms and conditions of the resolution or settlement of the dispute are breached, the dispute shall be resolved by arbitration pursuant to the provisions of Section 8.7.3 below.
If any Problem or other dispute, arises between the Parties, and the disputed matter has not been resolved by the Senior Executive Contacts of each Party as specified in Section 20.1 above, or such longer period as agreed to in writing by the Parties, and without regard to whether either Party has contested whether these procedures, including the duty of good faith, have been followed, each Party shall have the right to commence any legal proceeding as permitted by law.
