Executive Approval definition

Executive Approval means, with respect to any member of the Board of Directors of the Company in office at the time of determination, (A) if such individual is not then a member of the Board of Directors of the Company by virtue of election to the Board of Directors of the Company by vote of the stockholders of the Company, the Executive, as a Director of the Company, voted for the appointment of such individual to the Board of Directors of the Company pursuant to which such individual is then a member of the Board of Directors of the Company, and (B) if such individual is then a member of the Board of Directors of the Company by virtue of election to the Board of Directors of the Company by vote of the stockholders of the Company, all of the ▇▇▇▇▇▇ Shares at the time of such election were voted in favor of the election of such individual to the Board of Directors of the Company pursuant to which such individual is then a member of the Board of Directors of the Company.
