If Sunstone Parties decide to exercise their Drag-Along Right; provided that the Merger Agreement shall have been terminated in accordance with its terms, then Sunstone Parties shall exercise the Drag-Along Right by delivery of written notice in the form of Exhibit 3.3 (the "Drag Along Notice") to each of Alter and Bied▇▇▇▇▇ ▇▇▇ultaneously with the delivery of the Execution Notice.
