Executed Documents definition

Executed Documents means the Sale Agreement (the "Sale Agreement"), dated September 11, 2000, between Shell -------------- Petroleum N.V. ("SPNV") and the Assignor, the Seller Disclosure Letter, dated ---- September 11, 2000, between SPNV and the Assignor, the Investigations Agreement, dated September 11, 2000, between the Assignor and SPNV and the Human Resources Agreement, dated September 11, 2000, among the Assignor, SPNV and Resin Acquisition, LLC ("Resin"), in each case as may be amended or supplemented from ----- time to time; and
Executed Documents this Agreement, each Original Security, the Tripartite Agreement, the Fees Side Letter, the OWI Guarantee and each Morax Xxxument duly executed and stamped (which the Financiers will provide to the Security Trustee after the making of the first Advance has occurred);
Executed Documents means this Note, the Guarantee Agreement, the Security Documents, each certificate delivered pursuant to the Funding Letter, and the Fee Letter. Each amendment to (or constituting part of) any Executed Document and each waiver or consent or extension of time executed in connection with any Executed Document shall be deemed to be an Executed Document for all purposes of this Note and the other Executed Documents.

  • Verification Documents means, with respect to any Note Owner, a certification from such Note Owner certifying that such Person is in fact, a Note Owner, as well as one additional piece of documentation reasonably satisfactory to the recipient, such as a trade confirmation, account statement, letter from a broker or dealer or other similar document. The foregoing definitions shall be equally applicable to both the singular and plural forms of the defined terms. Unless otherwise inconsistent with the terms of this Agreement, all accounting terms used herein shall be interpreted, and all accounting determinations hereunder shall be made, in accordance with GAAP. Amounts to be calculated hereunder shall be continuously recalculated at the time any information relevant to such calculation changes.

  • Transfer Documents shall have the meaning set forth in Section 2.1(b).

  • Facsimile transmission means the transmission of a source document by a facsimile machine that encodes a document into optical or electrical signals, transmits and reconstructs the signals to print a duplicate of the source document at the receiving end.

  • Required Documents means those documents identified in Section 2(I) of the Custodial Agreement.

  • Related Agreements shall have the meaning specified in the recitals to the Administration Agreement.

  • Scan means the complete process of collecting x-ray transmission data for the production of a tomogram. Data can be collected simultaneously during a single scan for the production of one or more tomograms.

  • Receivables Documents means all documentation relating to any receivables financing program providing for the sale of some or all Receivables Facility Assets by Company and its Subsidiaries (whether or not to a Receivables Subsidiary) in transactions purporting to be sales and shall include the documents evidencing any Permitted Accounts Receivable Securitization and any Receivables Factoring Facility.

  • Assigned Documents has the meaning assigned to that term in Section 2.12.

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Executed means the Vendor should have achieved the criteria specified in the Technical criteria of PQR even if the Contract has not been completed or closed

  • Purchaser Documents has the meaning set forth in Section 6.2.
