Excluded Overhead means "401(k) and SERP Expenses", "Legal and Audit Services", "Professional and Consulting Services", and "other Outside Services" as those terms are used in the 1995 Proposed Overhead Budget attached as an exhibit to the Indemnification and Reimbursement Agreement.
